This Subscription Agreement is made by and between Research Frontiers Incorporated, a Delaware corporation (the “Company”), and the undersigned (the “Subscriber”), in connection with the offering (the “Offering”) of certain shares of common stock of the Company, $.0001 par value per share (the “Shares”) and related stock purchase warrants. For every five (5) Shares purchased by the Subscriber, hereunder, the Subscriber shall also receive one (1) warrant expiring on July 31, 2017 (the “Warrant”) to purchase one share of common stock at an exercise price equal to 150% of the Subscription Price (defined below) per warrant under the terms contained in the Warrant Agreement which shall evidence the Warrant being issued to the undersigned.
