Morgan Securities LLC, KeyBanc Capital Markets Inc., Regions Securities LLC, Stifel, Nicolaus & Company, Incorporated and Wells Fargo Securities, LLC, as sales agents, principals and/or (except in the case of Capital One Securities, Inc., Huntington Securities, Inc. and Stifel, Nicolaus & Company, Incorporated) forward sellers (the “Agents”), and each of Bank of Montreal, Bank of America, N.A., JPMorgan Chase Bank, National Association, KeyBanc Capital Markets Inc., Regions Securities LLC and Wells Fargo Bank, National Association (the “Forward Purchasers”).
