This CREDIT AGREEMENT, is entered into as of November 9, 2021, among (i) TEAM, INC., a Delaware corporation (the “Borrower”), (ii) each of the lenders identified as a “Lender” on Annex A attached hereto (together with each of its respective successors and assigns, if any, and any Additional Lenders, each a “Lender” and, collectively, the “Lenders”), and (iii) Corre Credit Fund, LLC, acting not individually but as agent on behalf of, and for the benefit of, the Lenders (in such capacity, together with its successors and assigns, if any, in such capacity, herein called the “Agent”).

This CREDIT AGREEMENT, is entered into as of February 11, 2022, among (i) TEAM, INC., a Delaware corporation, each other Person identified on Schedule 6.1(a) as a “Borrower” and each additional Person that is joined as a party hereto as a borrower by executing the form of Joinder attached hereto as Exhibit J-2 (each, a “Borrower” and collectively and jointly and severally, the “Borrowers”), (ii) each Person identified as a “Lender” on Annex A attached hereto (together with each of its respective successors and assigns, if any, each a “Lender” and, collectively, the “Lenders”), and (iii) ECLIPSE BUSINESS CAPITAL LLC, acting not individually but as agent on behalf of, and for the benefit of, the Lenders and all other Secured Parties (in such capacity, together with its successors and assigns, if any, in such capacity, the “Agent”).

This Second Amended and Restated Registration Rights Agreement (this “Agreement”), dated as of February 10, 2022, is among Team, Inc., a Delaware corporation (the “Company”), APSC Holdco II, L.P. (“Atlantic Park”) and the Corre Holders (as defined below), and amends and restates that certain Amended and Restated Registration Rights Agreement, dated as of December 8, 2021, among the Company, Atlantic Park and the Corre Holders (the “Existing Agreement”), which amended and restated that certain Registration Rights and Lock-Up Agreement, dated as of December 18, 2020, between the Company and Atlantic Park (the “Original Agreement”).
