THIS LOAN AND SECURITY AGREEMENT (this “Agreement”) dated as of November 19, 2019 (the “Effective Date”) between SILICON VALLEY BANK, a California corporation (“Bank”), and SINGULAR GENOMICS SYSTEMS, INC., a Delaware corporation (“Borrower”), provides the terms on which Bank shall lend to Borrower and Borrower shall repay Bank. This AMENDED AND RESTATED INVESTORS’ RIGHTS AGREEMENT (the “Agreement”) is made as June 27, 2019, by and among Singular Genomics Systems, Inc., a Delaware corporation (the “Company”), the investors listed on Schedule A hereto, each of which is herein referred to as an “Investor” and collectively as the “Investors”, and each of the stockholders listed on Schedule B hereto, each of whom is herein referred to as a “Common Holder” and collectively as the “Common Holders”.
