This SECOND AMENDED AND RESTATED EMPLOYMENT AGREEMENT (“Agreement”) is entered into as of December 10, 2020 (the “Execution Date”) between AGNC Mortgage Management, LLC (formerly known as American Capital Mortgage Management, LLC), a Delaware limited liability company (the “Company”), and Christopher J. Kuehl (the “Executive”) and supersedes and replaces in its entirety that certain Amended and Restated Employment Agreement, entered into between the Company and the Executive, dated as of November 1, 2016, as amended (the “Prior Agreement”). Other than the terms set forth in subparagraphs 4(b) and 4(c) hereof with respect to 2021 annual cash bonus and long-term incentive awards, which shall each be effective as of the Execution Date, the remainder of this Agreement shall become effective on July 1, 2021 (the “Effective Date”) subject to the Executive remaining continuously employed with the Company from the Execution Date through the Effective Date.
