THIS TAX MATTERS AGREEMENT (this “Agreement”), dated as of , 2019 by and between Recro Pharma, Inc., a Pennsylvania corporation (“Recro”), and Baudax Bio, Inc., a Pennsylvania corporation (“Baudax”).
