This INDEMNITY AGREEMENT (this “Agreement”) is made as of March 1, 2016, by RPT FLATS AT CARRS HILL, LLC, a Delaware limited liability company (“Borrower” or “Indemnitor”), for the benefit of NATIONWIDE LIFE INSURANCE COMPANY, an Ohio corporation, its successors or assigns (“Indemnitee”).

THIS LOAN AGREEMENT (this “Agreement”), is entered into as of March 1, 2016, between RPT FLATS AT CARRS HILL, LLC, a Delaware limited liability company (“Borrower”), with an address at c/o Deutsche Asset Management, 101 California Street, 24th Floor, San Francisco, CA 94111, and NATIONWIDE LIFE INSURANCE COMPANY, an Ohio corporation (together with its successors and assigns, “Lender”), with an address at One Nationwide Plaza, Fifth Floor, Columbus, Ohio 43215, ATTN: Real Estate Investments (1-05-701).
