This Performance- and Time-Based Restricted Stock Unit Award Agreement (this “Agreement”) is made effective as of [GRANT DATE] (the “Grant Date”), between ABIOMED, Inc. As we have discussed, your employment with ABIOMED, Inc.1 (the “Company”) will terminate, effective as of the Separation Date (as defined below), by reason of your retirement. The purpose of this letter (this “Agreement”) is to confirm the agreement between you and the Company concerning your termination of employment with the Company and transition to a consulting role with the Company in consideration of the promises contained in this Agreement.
