THIS AGREEMENT, made as of February 14,2014 to be effective retroactive to May 1, 2012 by and among TIAA-CREF Life Insurance Company (the “Insurance Company”), a life insurance company, on its own behalf and on behalf of each segregated asset account (the “Accounts”) established by Insurance Company, TIAA-CREF Life Funds, a Delaware statutory trust (the “Trust”), on behalf of each current or future series of shares of the Trust (the “Designated Funds”), Teachers Advisors, Inc. (the “Adviser”), a Delaware limited liability company operating as a registered investment adviser, and Teachers Personal Investors Services, Inc. (“TPIS”), a Delaware limited liability company operating as a broker-dealer.

THIS AGREEMENT, made and entered into this day of , 2014 (the “Agreement”) by and among TIAA-CREF LIFE INSURANCE COMPANY, organized under the laws of New York (the “Company”), on behalf of itself and each separate account of the Company named in Schedule A to this Agreement, as may be amended from time to time (each account referred to as the “Account” and collectively as the “Accounts”); The RBB Fund, Inc. (the “Fund”), on behalf of each of the Fund portfolios named in Schedule B, as such schedule may be amended from time to time (the “Designated Portfolios”); Matson Money, Inc., the investment adviser to the Designated Portfolios (the “Adviser”); and Foreside Funds Distributors LLC, the principal underwriter/distributor of the Fund (the “Distributor”).
