This Executive Employment Agreement (this “Agreement”) is entered into on July 11, 2013 by and between Texas Capital Bancshares, Inc. (“TCBI”), which is the holding company of Texas Capital Bank, N.A. (“TCB”)(TCBI and TCB shall be collectively referred to herein as the “Company”), and Keith Cargill (“Executive”). The Company and Executive are referred to in this Agreement as the “Parties.” This Agreement amends and restates, in its entirety, the Executive Employment Agreement entered into on December 31, 2008, by and between the Company and Executive (the “Prior Agreement”). In consideration of the mutual covenants and promises contained in this Agreement, the Parties agree as follows:
