This Amended and Restated Royalty Trust Agreement (“Agreement”) of Gulf Coast Ultra Deep Royalty Trust (the “Trust”) is entered into as of [ ], 2013, between Freeport-McMoRan Copper & Gold Inc., a Delaware corporation (“Depositor”), McMoRan Oil & Gas LLC, a Delaware limited liability company and a wholly owned subsidiary of the Company (“Grantor”), The Bank of New York Mellon Trust Company, N.A., a national banking association (the “Bank”), as trustee (the “Trustee”), and BNY Mellon Trust of Delaware, as Delaware trustee (the “Delaware Trustee”).
