This CREDIT AGREEMENT (this “Agreement”) is entered into as of December 1, 2009 (as amended by Amendment No. 1 on February 17, 2011, as further amended by Amendment No. 2 on April 15, 2011, as further amended by Amendment No. 3 on March 30, 2012 and as further amended by Amendment No. 4 on the Amendment No. 4 Effective Date), among SEAWORLD PARKS & ENTERTAINMENT, INC.
