This AMENDED AND RESTATED CREDIT AGREEMENT, dated as of February 18, 2011 among KNOLOGY, INC., a Delaware corporation (the “Borrower”), the Lenders (as defined below), the Issuers (as defined below), CREDIT SUISSE AG, acting through one or more of its branches, as administrative agent for the Lenders and the Issuers (in such capacity, together with its successors and assigns, the “Administrative Agent”) and as collateral agent for the Secured Parties (as defined below) under the Collateral Documents (as defined below) (in such capacity, the “Collateral Agent”).
