This Restated Executive Employment Agreement (the “Agreement”) is made and entered into by and between Anthony DiTonno (the “Executive”) and NeurogesX, Inc., a Delaware Corporation (the “Company”), effective as of April 26, 2011 (the “Effective Date”).
