CNL Securities Corp. (the “Managing Dealer”), a Florida corporation, has entered into a managing dealer agreement (the “Managing Dealer Agreement”) with CNL Income Properties, Inc. (the “Company”), a Maryland corporation, pursuant to which the Managing Dealer has agreed to use its best efforts to sell and manage the sale by others (collectively the “Soliciting Dealers”) of shares of the Company’s common stock, par value $0.01 (the “Shares”). The Company has also entered into an advisory agreement (the “Advisory Agreement”) with CNL Income Corp. (the “Advisor”), a Florida corporation, to manage the day-to-day operations of the Company. The Advisor and the Managing Dealer are wholly owned subsidiaries of CNL Financial Group, Inc., a Florida corporation.
