THIS CREDIT AGREEMENT (“Agreement”) is entered into as of March 30, 2006, by and among EPICOR SOFTWARE CORPORATION, a Delaware corporation (“Borrower”), each lender from time to time party hereto (collectively, “Lenders” and individually, a “Lender”), KEYBANK NATIONAL ASSOCIATION (as “Administrative Agent” and “Issuing Lender”), and BANK OF AMERICA, N.A.
