THIS PURCHASE AGREEMENT (the “Agreement”) is made as of the 28th day of January, 2010 (the “Effective Date”) between DayStar Technologies, Inc., a Delaware corporation (the “Company”), and Peter Alan Lacey (the “Purchaser”).
