This CREDIT AGREEMENT, dated as of December 16, 2009, is entered into by and among Steelcase Inc., a Michigan corporation, as the Company, the Subsidiary Borrowers from time to time parties hereto, the institutions from time to time parties hereto as Lenders, JPMorgan Chase Bank, N.A., as Administrative Agent for itself and the other Lenders, Bank of America, N.A., as Syndication Agent and Fifth Third Bank, as Documentation Agent.
