Reven Housing REIT, Inc., a Maryland corporation (the “Company”) and Reven Housing REIT OP, L.P., a Delaware limited partnership and the Company’s operating partnership (the “Operating Partnership”), confirm their respective agreements with Ladenburg Thalmann & Co. Inc. (“Ladenburg”) and Wedbush Securities Inc. (“Wedbush”) and each of the other underwriters named in Schedule I attached to this agreement (this “Agreement”) (collectively, the “Underwriters,” which term shall also include any underwriter substituted as hereinafter provided in Section 10 hereof), for whom Ladenburg and Wedbush are acting as representative (in such capacity, each a, “Co-Representative,” and collectively, the “Representative”), with respect to (i) the sale by the Company and the purchase by the Underwriters, acting severally and not jointly, of the respective numbers of shares of the Company’s common stock, par value $0.001 per share (the “Common Stock”), set forth in Schedule I hereto, and (ii) the grant by
