This RESTRICTED COMMON STOCK PURCHASE AGREEMENT (this “Agreement”), dated as of January 4, 2013, is made by and between American Eagle Energy Corporation, a Nevada corporation (the “Company”), and Power Energy Holdings, LLC, an Illinois limited liability company (the “Purchaser”). The Company and the Purchaser are sometimes individually referred to in this Agreement as a “Party” and collectively as the “Parties.”
