THIS EXECUTIVE EMPLOYMENT AGREEMENT (this "Agreement") is a May 15, 2008 amendment to the agreement made and entered into and effective as of the 27th day of September, 2007 (the "Effective Date"), between Onstream Media Corporation, a Florida corporation, whose principal place of business is 1291 S.W. 29th Avenue, Pompano Beach, Florida 33069 (the "Company") and Robert E. Tomlinson, an individual whose address is 2150 NE 65th Court, Fort Lauderdale, Florida 33308-1012 (the "Executive").
