This SALE AND SERVICING AGREEMENT, dated as of November 1, 2022 (as amended, restated, supplemented or otherwise modified from time to time, this “Agreement”), is among MERCEDES-BENZ RETAIL RECEIVABLES LLC, a Delaware limited liability company (the “Depositor”), MERCEDES-BENZ FINANCIAL SERVICES USA LLC, a Delaware limited liability company (“MBFS USA”), as seller (in such capacity, the “Seller”) and as servicer (in such capacity, the “Servicer”), and MERCEDES-BENZ AUTO RECEIVABLES TRUST 2022-1, a Delaware statutory trust, as issuer (the “Issuer”).

This Second Amended and Restated Limited Liability Company Agreement, is made and entered into as of September 1, 2022 (as amended, restated, supplemented or otherwise modified, this “Agreement”), by Mercedes-Benz Financial Services USA LLC (“MBFS USA”), as the sole member (the “Member”) of Mercedes-Benz Retail Receivables LLC (the “Company”) and by Kevin P. Burns and Bernard J. Angelo, as the Independent Managers (as defined herein).
