This SHARE AND LOAN PURCHASE AGREEMENT (including any and all Exhibits and Schedules hereto collectively this “Agreement”) dated as of March 5, 2022, (“Signing Date”) by and among (1) CENNTRO ELECTRIC GROUP, INC., 501 Okerson Road, Freehold, NJ 07728, USA, a corporation incorporated under the laws of Delaware, USA (“Buyer”), (2) CENNTRO ELECTRIC GROUP LIMITED, 225 Willow Brook Rd. Unit 14, Freehold, NJ 07728, USA, a corporation incorporated under the laws of Australia (“Guarantor”), and (3) MOSOLF SE & CO. KG, Dettinger Str. 157-159, 73230 Kirchheim unter Teck, Germany, a limited liability partnership incorporated under the laws of Germany (“Seller”) regarding the sale and purchase of (i) 65% of Seller’s shares in TROPOS MOTORS EUROPE GMBH, a German limited liability company with registered office in Kirchheim unter Teck, Germany (the “Company”), and (ii) 100% of the shareholder loan which Seller provided to the Company.
