This amendment (“Second Amendment”) to Agreement (defined below) is entered into by and between Sunovion Pharmaceuticals Inc. (formerly Cynapsus Therapeutics, Inc.) (“Sunovion”) and Aquestive Therapeutics, Inc. (formerly MonoSol Rx, LLC) (“Aquestive”) and is effective as of October 23, 2020 (the “Second Amendment Effective Date”). THIS SEPARATION AGREEMENT AND RELEASE (the “Agreement”) is made and entered into as of this 15th day of December, 2020 (the “Effective Date”) by and between Aquestive Therapeutics, Inc. (the "Company") and John Maxwell an individual (the "Executive"). The Company and the Executive are collectively referred to in this Agreement as the “Parties” and sometimes individually as a “Party.” Capitalized terms not defined in this Agreement shall have the same meanings ascribed to them in the Executive Employment Agreement between the Company and the Executive dated as of June 26, 2018 (the “Employment Agreement”).
