THIS WARRANT AGREEMENT (this “Agreement”) is made as of the 9th day of July, 2014 between Genco Shipping & Trading Limited, a Marshall Islands corporation (the “Company”), and Computershare Inc., a Delaware corporation (“Computershare”), and its wholly owned subsidiary Computershare Trust Company N.A., a federally chartered trust company (together with Computershare, the “Warrant Agent”).

This Registration Rights Agreement (this “Agreement”) is made and entered into as of July 9, 2014, by and among Genco Shipping & Trading Limited, a Marshall Islands corporation (the “Company”), and the other parties signatory hereto and any additional parties identified on the signature pages of any joinder agreement executed and delivered pursuant hereto (each a “Holder” and collectively, the “Holders”).

Supplemental to a secured loan agreement dated 20 August 2010 made between the Borrower, the Lenders, the Agent, the Mandated Lead Arrangers, the Swap Providers, the Bookrunner and the Security Agent as amended and supplemented by a first side letter dated 24 August 2010, as further supplemented by a letter to the Borrower dated 21 December 2011 and as amended and restated by a second supplemental agreement dated 1 August 2012 (the "Original Loan Agreement"), on the terms and subject to the conditions of which each of the Lenders agreed to advance to the Borrower its respective Commitment of an aggregate amount not exceeding two hundred fifty three million Dollars ($253,000,000).
