THIS SERVICES AGREEMENT (the “Agreement”) is made effective as of January 31, 2019 (the “Effective Date”) by and among SPARTAN PARTNERS SERVICES LLC, a Michigan limited liability company (“Service Company”), and 3 STATE PARK, LLC, a Michigan limited liability company, on behalf of itself and its subsidiaries set forth on Exhibit A attached hereto (each, a “Subsidiary” and collectively with 3 State Park, LLC, the “Company”). The Company and the Service Company are at times referred to herein individually as a “Party” and collectively as the “Parties”.

AGREEMENT (“Agreement”), is dated as of January 31, 2019 (the “Effective Date”), by and among BUENA VISTA REAL ESTATE, LLC, a Michigan limited liability company (“License Holder”), on behalf of itself and each of its subsidiaries set forth on Schedule 1 attached hereto (each, a “Subsidiary” and collectively, the “Subsidiaries”), David Malinoski, the sole member of License Holder (the “Member”), and SPARTAN PARTNERS HOLDINGS, LLC, a Michigan limited liability company (“Service Company”) (collectively, the “Parties” and each a “Party”).

Thereafter during the Term, a monthly Sales Plan due by the fifteen (15th) day of each calendar month during the Term, commencing on the fourth month after the Effective Date, in accordance with the terms and conditions of the Agreement.

THIS CREDIT AND SECURITY AGREEMENT (“Agreement”) is made and dated effective as of January 1, 2019 between AEY THRIVE, LLC, a Michigan limited liability company (“AEY”), David Malinoski, an individual (“Malinoski” and together with AEY, “Borrower”), and SPARTAN PARTNERS HOLDINGS, LLC, a Michigan limited liability company (“Lender”).
