SUPPLEMENTAL INDENTURE (this “Supplemental Indenture”), dated as of August 14, 2019 among SUZANO AUSTRIA GMBH, a limited liability company incorporated under the laws of the Republic of Austria (the “Issuer”), SUZANO S.A., a corporation (sociedade por ações) organized under the laws of the Federative Republic of Brazil (the “Company”), as Guarantor, and DEUTSCHE BANK TRUST COMPANY AMERICAS, a New York banking corporation, as trustee (in such capacity, the “Trustee”) to the indenture dated as of May 29, 2019 (the “Indenture”).

SECOND SUPPLEMENTAL INDENTURE (this “Second Supplemental Indenture”), dated as of August 14, 2019 among SUZANO AUSTRIA GMBH, a limited liability company incorporated under the laws of the Republic of Austria (the “Issuer”), SUZANO S.A., a corporation (sociedade por ações) organized under the laws of the Federative Republic of Brazil (the “Company”), as Guarantor, and DEUTSCHE BANK TRUST COMPANY AMERICAS, a New York banking corporation, as trustee (in such capacity, the “Trustee”) to the indenture dated as of September 20, 2018, (the “Base Indenture”), as amended and supplemented by the supplemental indenture dated as of February 5, 2019 (the “First Supplemental Indenture” and, together with the Base Indenture, the “Indenture”).
