THIS THIRD AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP OF EQM MIDSTREAM PARTNERS, LP, a Delaware limited partnership (the “Partnership”), dated as of February 22, 2019 and effective as of the Merger Effective Time (as defined in the IDR Merger Agreement (as defined below)), is entered into by and among EQGP Services, LLC, a Delaware limited liability company (the “General Partner”), Equitrans Gathering Holdings, LLC, a Delaware limited liability company and a Limited Partner of the Partnership (“EGH”), EQM GP Corporation, a Delaware corporation and a Limited Partner of the Partnership (“EQM GP Corp”), and Equitrans Midstream Holdings, LLC, a Delaware limited liability company and a Limited Partner of the Partnership (“EMH”), together with any other Persons (as defined below) who are or who become Partners in the Partnership or parties hereto as provided herein.

This First Amendment (this “Amendment”) to Second Amended and Restated Agreement of Limited Partnership of EQM Midstream Partners, LP (the “Partnership”), dated as of October 12, 2018 (the “Partnership Agreement”), is hereby adopted effective as of 10:01 a.m. Eastern time on February 22, 2019, by EQM Midstream Services, LLC, a Delaware limited liability company (the “General Partner”), as general partner of the Partnership.

This FIRST AMENDMENT (this “First Amendment”) TO SECOND AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT (the “LLC Agreement”) of EQGP Services, LLC, a Delaware limited liability company (“EQGP GP”), dated effective as of 10:02 a.m. Eastern time on February 22, 2019, is adopted, executed and agreed to by Equitrans Gathering Holdings, LLC, a Delaware limited liability company (the “EGH”), as the sole member of EQGP GP (in such capacity, the “Sole Member”). Capitalized terms used but not otherwise defined herein shall have the meanings ascribed to them in the LLC Agreement.
