THIS TERM LOAN AGREEMENT (as may be amended, restated, amended and restated, supplemented or otherwise modified from time to time, this “Agreement”) is entered into as of May 8, 2015, among CIM COMMERCIAL TRUST CORPORATION, a Maryland corporation (the “Borrower”), CIM URBAN PARTNERS, L.P., a Delaware limited partnership and certain subsidiaries of the Borrower from time to time party hereto, as Guarantors, each lender from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), and WELLS FARGO BANK, NATIONAL ASSOCIATION, as Administrative Agent.
