THIS SECOND AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP is made and entered into effective as of the 5th day of September, 2008, by and between Robert M. Behringer, a Texas resident, and Behringer Harvard Advisors II LP, a Texas limited partnership, as the General Partners, and those parties who from time to time become Limited Partners as provided in this Agreement, as the Limited Partners.
