This Term Loan Agreement, dated as of May 31, 2005, is among Duke Realty Limited Partnership, an Indiana limited partnership (the “Borrower”), Duke Realty Corporation, an Indiana corporation (the “General Partner” and the “Guarantor”), J.P. Morgan Securities, Inc. (“JP Morgan”) (the “Arranger”), JP Morgan Chase Bank, N.A.
