(the “Debtor”) is indebted to the Guaranteed Party pursuant to and in accordance with the terms and conditions of a promissory note dated May 8, 2012 between the Debtor and the Guaranteed Party (the “Promissory Note”) which was entered into pursuant to Amendment No. 6 (the “Amendment”) dated as of April 15, 2012 to the Research Agreement (the “Research Agreement”) dated as of April 1, 2010 between the Debtor and the Guaranteed Party;
