THIS EMPLOYMENT AGREEMENT (this "Agreement") is entered into as of December 26, 2007, by and between TEXAS ROADHOUSE, INC., a Delaware corporation (the "Company"), and GERARD J. HART, a resident of the Commonwealth of Kentucky ("Executive").

Unless otherwise defined herein, the terms defined in the Texas Roadhouse, Inc. 2004 Equity Incentive Plan (the "Plan") will have the same defined meanings in this Restricted Stock Unit Award Agreement (the "Agreement").
