This AMENDED AND RESTATED EMPLOYMENT AGREEMENT, dated as of February 8, 2002 (the "Agreement"), by and among Energy East Corporation, a New York corporation (the "Company"), Energy East Management Corporation, a Delaware corporation ("EEMC"), and Kenneth M.
