THIS STOCK PURCHASE AGREEMENT (the “Agreement”) is made as of March 31st, 2008, by and among The Amacore Group, Inc., a Delaware corporation (“AGI” or the “Buyer”), US Health Benefits Group, Inc, US Healthcare Plans, Inc and On the Phone, Inc. (collectively referred to as the “Company”) and the stockholders of the Company listed on the signature page hereto (collectively, the “Stockholders”).
