This RIGHTS AGREEMENT (this “Agreement”), dated as of April 26, 2013, is by and between Forward Industries, Inc., a New York corporation (the “Company”), and American Stock Transfer & Trust Company, LLC, a New York limited liability trust company, as rights agent (the “Rights Agent”). All capitalized terms that are used in this Agreement shall have the respective meanings given thereto in Section 1.
