This GUARANTEE AGREEMENT, dated as of September 11, 2003, is executed and delivered by LINCOLN NATIONAL CORPORATION, an Indiana corporation (the “Guarantor”) having its principal office at 1500 Market Street, Suite 3900, Philadelphia, Pennsylvania 19102-2112, and BANK ONE TRUST COMPANY, NATIONAL ASSOCIATION, a national banking association, as trustee (the “Guarantee Trustee”), for the benefit of the Holders (as defined herein) from time to time of the Preferred Securities (as defined herein) of Lincoln National Capital VI, a Delaware statutory trust (the “Issuer”).
