This CREDIT AGREEMENT is entered into as of July 27, 2007, among ASYST TECHNOLOGIES, INC., a California corporation (the “Company” or “ATI”), ASYST JAPAN, INC., a Japanese corporation (“AJI”), ASYST SHINKO, INC., a Japanese corporation (“ASI”), and certain other Subsidiaries of the Company from time to time party hereto pursuant to Section 2.14 (each a “Designated Borrower” and, together with the Company, ASI and AJI, the “Borrowers”), each financial institution from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), and KEYBANK NATIONAL ASSOCIATION, as Administrative Agent, Swing Line Lender and L/C Issuer.
