This Registration Rights Agreement (this “Agreement”) is made and entered into as of [ ], 2006 (the “Effective Date”), between Wendy’s International, Inc., an Ohio corporation (“Wendy’s”), and Tim Hortons Inc., a Delaware corporation (“Tim Hortons”).
