THIS LIMITED LIABILITY COMPANY OWNERSHIP INTEREST PURCHASE AGREEMENT (the “Agreement”) is made and entered into as of this 28th day of January, 2007, by and among Arcadia Resources, Inc., a Nevada Corporation (“Arcadia” or “Buyer”), PrairieStone Pharmacy, LLC, a Delaware limited liability company (“Company”), and AmerisourceBergen Drug Corporation, a Delaware corporation (“ABDC”), Lunds, Inc., a Minnesota corporation (“Lunds”), LFHI Rx, LLC, a Minnesota limited liability company (“Lunds Rx”), Marvin R.
