This AMENDED AND RESTATED FIVE-YEAR CREDIT AGREEMENT (this “Agreement”) dated as of October 21, 2011 is entered into among THE DETROIT EDISON COMPANY, a Michigan corporation (the “Borrower”), the banks, financial institutions and other institutional lenders (the “Initial Lenders”) listed on the signature pages hereof, and BARCLAYS BANK PLC (“Barclays”), as Administrative Agent (the “Agent”) for the Lenders (as hereinafter defined).
