This Purchase and Sale Agreement (this “Agreement”), dated as of March 21, 2011 (the “Execution Date”), is by and between Newfield Production Company, a Texas corporation (“Purchaser”), and Harvest (US) Holdings, Inc., a Delaware corporation, (“Seller”).
