THIS EMPLOYMENT AGREEMENT (the “Agreement”) by and among ROCKVILLE FINANCIAL, INC., a Connecticut corporation (the “Company”), ROCKVILLE BANK, a Connecticut savings bank and a wholly-owned subsidiary of the Company (the “Bank”), and Richard J. Trachimowicz (“Executive”) which was first effective as of May 23, 2005 (the “Effective Date”) and thereafter amended by a First Amendment effective as of December 22, 2006 and thereafter extended to December 31, 2009 and thereafter amended and restated in its entirety as of January 1, 2009 and thereafter extended to December 31, 2010, is hereby amended and restated in its entirety as of January 1, 2011.
