Kevin C. Eichler (hereafter referred to as “the Employee”) and Ultra Clean Holdings, Inc. (together with its subsidiaries hereafter referred to as “the Company”) mutually desire to define their rights and liabilities with respect to one another upon the termination of the Employee’s employment with the Company on July 29, 2016 (the “Separation Date”).
