This AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT of Navy, LLC, a Delaware limited liability company (the “Company”), is made as of [______], 201_, by and among [_________], [_________], [_________] (each, an “Initial Comcast Member” and collectively, the “Initial Comcast Members”), Navy Holdings, Inc., a Delaware corporation (the “Initial GE Member” or “HoldCo”), each other Person who at any time becomes a Member in accordance with the terms of this Agreement and the Act, and Comcast Corporation, a Pennsylvania corporation (“Comcast”), and General Electric Company, a New York corporation (“GE”).

Terms used but not otherwise defined herein have the meanings given to them in Article 1.
