This Consulting and Administrative Agreement ( the "Agreement") is made and entered into effective as of July __, 1998, by and between North American Gaming and Entertainment Corporation ("Consultant") and River Port Truck Stop, L.L.C. (the "Company").

Reference is hereby made to the proposed Operating Agreement (the "Agreement") of River Port Truck Stop, L.L.C. (the "Company"), to be entered into between Don Williams ("Williams") and North American Gaming and Entertainment Corporation ("NAG"), in the form delivered to Blane Clark under cover of the letter of Mike Parsons dated July 17, 1998. The parties have agreed to delete Section 8.20 of the Agreement and to memorialize their agreement in respect of the matters contemplated therein, as follows (capitalized terms not otherwise defined herein shall have the meaning ascribed in the Agreement):
