THIS CERTIFIES THAT, for value received, Bank One Corporation (the "Holder") is entitled to exercise this Warrant to purchase from the Company Two Hundred Fifty Thousand (250,000) fully paid and nonassessable shares of the Company's Common Stock, no par value per share (the "Common Stock"), on the terms and subject to the conditions set forth herein. The shares of Common Stock issuable upon the exercise of this Warrant are referred to herein as the "Warrant Shares." The number of Warrant Shares issuable upon exercise of this Warrant and the Exercise Price (as defined below) are subject to adjustment as provided herein.
