THIS AGREEMENT is made and entered into as of the 19th day of May, 2008, by and between PROFESSIONALLY MANAGED PORTFOLIOS, a Massachusetts business trust (the “Trust”), on behalf of its series, CAN SLIM Select Growth, and QUASAR DISTRIBUTORS, LLC, a Delaware limited liability company (the “Distributor”). NORTHCOAST ASSET MANAGEMENT, LLC, the investment advisor (the “Advisor”), is a party hereto with respect to Section 5 only.

THIS INVESTMENT ADVISORY AGREEMENT is made as of the 2nd day of September, by and between Professionally Managed Portfolios, a Massachusetts business trust (hereinafter called the “Trust”), on behalf of the series of the Trust listed on Schedule A as may be amended from time to time (each a “Fund”, collectively the “Funds”) and NorthCoast Asset Management, LLC (the “Advisor”).
