THIS SHARE REPURCHASE AGREEMENT (this "Agreement") is made and entered into as of this 27th day of January, 2014, by and between Warburg Pincus Private Equity X, L.P., a Delaware limited partnership (“Warburg PE”), and Warburg Pincus X Partners, L.P., a Delaware limited partnership (“Warburg Pincus X” and, together with Warburg PE, the "Seller"), and National Penn Bancshares, Inc., a Pennsylvania corporation (the "Purchaser").
