THIS CHANGE IN CONTROL (the “Agreement”) is adopted effective the 1st day of January, 2006, by and between PEOPLES BANCORP INC., a financial holding company, located in Marietta, Ohio (the "Company"), and David T. Wesel (the "Executive"), an Executive of the Company or any of its subsidiaries.
